Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services provided by Invent.sg ("we," "us," "our," "Invent.sg") via the website, APIs, software, platform, and other interfaces (collectively, the "Service"). By registering for an account, logging in, or otherwise accessing or using the Service, you ("you," "User") agree to these Terms. If you accept these Terms on behalf of an entity, you represent that you have authority to bind that entity to these Terms.

If you do not agree to all of these Terms, do not access or use the Service.

1. Definitions

In these Terms (and cognate forms), the following definitions apply:

Account means your user account on the Service under which you access features, Projects, and data.

Plan means one of the subscription tiers offered (Free Plan, Innovator, Catalyst, Enterprise, Corporate) as described on our Pricing page.

Credits means the internal units by which usage of certain features / AI tasks is measured.

Free Plan means the no-charge plan described on the pricing page, subject to its usage limits and public-project policy.

Paid Plan refers to any subscription plan for which you pay fees (e.g. Innovator, Catalyst, Enterprise, Corporate).

Project means a workspace, idea, or "invention" you create within the Service, comprising input, working content, and outputs.

Input Content means data, files, information, or materials that you upload, type, submit, or make available via the Service.

Output Content means results, drafts, designs, analyses, or other content generated by the Service (including by AI agents) derived from your Input Content.

Platform IP means all rights in the software, models, training, algorithms, AI agents, code, infrastructure, improvements, and derivative works that support the Service.

Privacy Policy means the privacy policy published at https://invent.sg/privacy-policy.html (as may be updated).

Pricing Policies means the policies published at https://invent.sg/pricing-policies.html (as may be updated).

Site Policies means the collection of policies (e.g. account deletion, project visibility, inactivity rules) referenced on the Pricing Policies page.

2. Scope of Service & License

2.1 Provision of Service

We provide an AI-powered SaaS platform that helps users develop ideas into actionable outputs (e.g. patent drafts, business plans) using structured methodology (CAGE), AI agents, workflows, collaboration tools, expert reviews, and related features.

2.2 License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service under your chosen Plan for your internal projects and permitted uses.

2.3 Restrictions

You agree not to, nor permit others to:

  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or inner workings of the Platform IP;
  • Rent, lease, sublicense, assign, or transfer rights to the Service (unless expressly allowed under your Plan);
  • Use the Service in a manner that violates laws, regulations, or third-party rights;
  • Circumvent restrictions (e.g. evading credit limits, usage caps);
  • Remove or obscure any proprietary notices, watermarks, or disclaimers in the output or UI.

3. Account, Registration & Security

3.1 Eligibility & Registration

You must register for an Account and provide true, accurate, current, and complete information. You must be of legal age or have authority to bind the entity for which you register.

3.2 Account Credentials & Responsibility

You are responsible for keeping your credentials (e.g. username, password) secure. You are responsible for all activity under your Account, whether authorized or not. You must notify us promptly of any unauthorized use or security breach.

3.3 Team / Shared Access

If your Plan allows multiple users or collaborators, you are responsible for ensuring that each user complies with these Terms. You remain liable for their acts under your Account.

4. Subscription Plans, Credits & Billing

4.1 Plans & Feature Sets

We offer multiple Plans (Free, Innovator, Catalyst, Enterprise, Corporate) each with credits, feature access, project quotas, team size, and privacy options as described on our Pricing page.

4.2 Credit Consumption & Expiry

Using certain features, running AI tasks, or generating outputs consumes Credits. Unused Credits may expire or not roll over, depending on your Plan; consult the Pricing Policies for details.

4.3 Free Plan — Public Projects

Users on the Free Plan receive a monthly credit allotment and may maintain one Project. That Project becomes public after seven (7) days by default, unless upgraded.

4.4 Paid Plans — Private by Default

Paid Plans come with larger credit allocations and private Project defaults. When you upgrade from Free to Paid, your existing Projects become private immediately (per Pricing Policies).

4.5 Fees, Billing & Renewal

Paid Plans incur fees (monthly or annual) as indicated at checkout. Annual plans often incorporate a discount (e.g., "save 2 months"). Plans auto-renew unless canceled. Payments are non-refundable except as expressly stated in these Terms or Pricing Policies.

4.6 Upgrades / Downgrades

You may upgrade or downgrade your Plan. On upgrade, your Projects immediately gain the privacy status and feature set of the higher Plan. Billing adjustments, proration, and credit resets will be handled per Pricing Policies.

4.7 Refunds & Cancellations

Unless otherwise stated, payments are non-refundable. If you cancel, your access continues until the end of the current billing period, but unused Credits or features are lost. See our Refund Policy for details.

4.8 Pricing Changes

We reserve the right to change pricing, credit allocations, feature sets, or Plan structures with advance notice (e.g. 30 days). Continued use after that period constitutes acceptance of the changes.

5. Project Visibility & Public / Private Content

5.1 Public by Default for Free Users

Free Plan Projects become public after 7 days. Once public, any user may view them (except for clearly redacted or restricted content).

5.2 Private for Paid Users

Paid users' Projects remain private by default and only visible to the user and designated collaborators.

5.3 Right to Remove or Disable

We reserve the right (but are not obligated) to remove, restrict, or disable content (Input or Output) that violates these Terms or is otherwise unlawful, harmful, or objectionable.

6. Intellectual Property & Ownership

6.1 Your Ownership

You retain ownership of all rights, title, and interest in your Input Content, ideas, inventions, and Output Content (e.g. patent drafts, plans) to the extent permitted by law.

6.2 License to Us

By submitting Input Content and using the Service, you grant us a non-exclusive, royalty-free, worldwide license to host, store, copy, display, analyze, transform, and process such content to provide, maintain, improve, and troubleshoot the Service.

6.3 Confidential & Pre-existing IP

If you upload or provide confidential documents (e.g. existing patent drafts, prior art), such content is treated as strictly confidential, and we will not use it to train or update our models absent express consent.

6.4 Use in Model Training

For public / anonymized data (i.e. content not marked as confidential), we may use anonymized or aggregate transforms for model improvement, subject to opt-out settings provided during onboarding and in account settings.

6.5 Platform IP

We exclusively own all rights in the Platform IP. Except for the license expressly granted herein, you acquire no ownership or rights in the Platform IP.

6.6 Feedback

If you provide feedback, ideas, or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use, modify, integrate, or commercialize that feedback without compensation.

7. Confidentiality

"Confidential Information" means non-public, proprietary information disclosed by one party to the other (e.g. business plans, technical data, security measures). Each party agrees to hold the other's Confidential Information in confidence and use it only for permitted purposes.

8. Data Protection & Privacy

Your collection, use, disclosure, retention, and handling of personal data is governed by our Privacy Policy, which is part of these Terms. We comply with Singapore's Personal Data Protection Act and applicable data protection laws.

9. Support, Availability & Maintenance

Support services availability (e.g. email, chat, priority response) depends on your Plan. Unless a separate Service Level Agreement (SLA) is in place for enterprise customers, we do not guarantee uninterrupted access. We may perform scheduled maintenance or updates with notice.

10. Warranties, Disclaimers & "As Is"

You represent and warrant that you have all necessary rights to submit your Input Content and that your use of the Service will not violate any laws, third-party rights, or these Terms.

The Service is provided "as is" and "as available" without warranties of any kind. We do not guarantee that AI-generated Output is accurate, reliable, or suitable; you bear responsibility for validation.

11. Limitation of Liability & Indemnification

To the maximum extent permitted by law, our aggregate liability to you under these Terms shall not exceed the total subscription fees you paid to us in the preceding twelve (12) months. In no event shall we be liable for indirect, consequential, special, or punitive damages.

You agree to indemnify, defend, and hold us harmless from and against all claims, liabilities, damages, losses, and expenses arising from your breach of these Terms or misuse of the Service.

12. Termination & Suspension

You may cancel your subscription at any time. You will retain access until the end of the current billing period unless otherwise stated. We may suspend or terminate your Account immediately or with notice if you breach these Terms.

13. Changes to Terms & Service

We may amend or replace these Terms from time to time. We will provide notice (e.g. via email or platform). Continued use after notice implies acceptance. We may add, remove, or modify features, pricing, credit rules, or Plan definitions, with reasonable notice.

14. Acceptable Use & Prohibited Conduct

You agree not to violate applicable laws, upload harmful content, harass others, access or interfere with security, use bots or scrapers, circumvent limits, or use the Service in a manner that impairs its performance.

15. Third-Party Services & Integrations

We may integrate or rely on third-party services (cloud providers, payment gateways, AI model providers). You acknowledge that your use is subject to those providers' terms.

16. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Singapore. Any dispute shall be brought exclusively in the courts of Singapore.

17. General Provisions

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. If any provision is held invalid, that provision is severed and the remainder stays in effect. No failure or delay in exercising any right constitutes a waiver.

18. Entire Agreement

These Terms (together with the Privacy Policy, Pricing Policies, and any Order Form or addenda) constitute the entire agreement between you and Invent.sg concerning the Service.
